ZAMDA TERMS OF USE

Welcome to Zamda. These Terms of Use (“Terms”) govern your access to and use of the website https://zamda.com and related services (collectively, the “Platform”), operated by ZAMDA LLC, a California limited liability company (“Zamda,” “we,” “us,” or “our”).

Please read these Terms carefully. By accessing or using the Platform, you agree to these Terms and our applicable policies. If you do not agree, please discontinue use of the Platform.

1. About the Platform

Zamda is an online classifieds platform that allows individuals and businesses to post listings, discover products and opportunities, and communicate with other users throughout the United States.

Zamda generally does not own, sell, purchase, deliver, inspect, or guarantee the goods and services advertised by users.

Unless expressly stated otherwise, transactions are conducted directly between users. Zamda is not a party to those transactions and does not act as an employer, real estate broker, payment escrow provider, or agent for users solely by providing the Platform.

2. Eligibility and Accounts

You must be at least 18 years old to create an account or independently conduct transactions through Zamda.

You agree to provide accurate account information and maintain the confidentiality of your login credentials.

You are responsible for activities conducted through your account, except to the extent caused by circumstances for which applicable law makes Zamda responsible.

You must promptly notify us of suspected unauthorized account access.

You may not impersonate another person, business, government agency, or Zamda representative.

We may require reasonable verification or restrict account features to address security concerns, suspected fraud, or violations of these Terms.

3. Listings and User Responsibilities

Users are responsible for the accuracy, legality, and content of their listings.

By posting a listing, you agree that:

• Your description, photographs, price, condition, and other material details are accurate and not misleading.
• You have the legal right to offer the advertised item or service.
• Your listing complies with applicable federal, state, and local laws.
• You will disclose known material defects or restrictions when legally required.
• You will not publish fraudulent, deceptive, duplicate, or prohibited listings.

Certain categories, including housing, employment, vehicles, animals, and regulated products or services, may be subject to additional legal requirements.

Users offering such listings are responsible for complying with those requirements, including applicable licensing, disclosure, and nondiscrimination laws.

Zamda may establish additional category-specific rules.

4. Prohibited Activities

You may not use Zamda to:

• Engage in fraud, phishing, identity theft, or deceptive practices.
• Distribute malicious links, malware, spam, or unsolicited fraudulent messages.
• Sell stolen, counterfeit, illegal, or otherwise prohibited items.
• Promote unlawful discrimination, harassment, threats, or exploitation.
• Misrepresent your identity, qualifications, ownership, or authority.
• Interfere with the Platform's security or normal operation.
• Access another user's account without authorization.
• Collect personal information through unauthorized methods.
• Circumvent account restrictions or moderation decisions.

5. Transactions Between Users

Buyers and sellers are responsible for evaluating each other and agreeing on transaction terms.

Unless Zamda expressly offers a particular transaction service, users independently arrange payment, delivery, pickup, returns, and any applicable warranties.

Zamda does not guarantee:

• The accuracy or availability of a listing.
• The identity, qualifications, or reliability of another user.
• The quality, safety, legality, or condition of advertised goods or services.
• Completion of a transaction or payment by another user.

Users should exercise reasonable caution, especially when receiving payment links, sharing financial information, or arranging in-person meetings.

Nothing in these Terms limits rights or remedies that users may have under applicable consumer protection laws.

6. Free and Paid Services

Standard listing features may be available free of charge.

Zamda may offer optional paid features, promotional placements, subscriptions, or other services.

When paid services are offered, applicable prices and material terms will be disclosed before purchase.

Any recurring subscription will be subject to the billing disclosures, affirmative consent, cancellation methods, and other requirements imposed by applicable law.

Fees will not be charged without appropriate authorization.

Refunds

Refund eligibility depends on the service purchased, the terms disclosed at checkout, and applicable law.

Where permitted by law, fees for completed promotional or advertising services may be nonrefundable if clearly disclosed before purchase.

Refunds or other remedies will be provided when required by applicable law, including where a charge is unauthorized or a legally required remedy applies.

7. User Content and Intellectual Property

You retain ownership of photographs, descriptions, and other original content you submit to Zamda.

By posting content, you grant Zamda a nonexclusive, worldwide, royalty-free license to host, store, reproduce, display, format, and distribute that content as reasonably necessary to operate, maintain, and promote the Platform and your listings.

This license does not transfer ownership of your content to Zamda.

The license ends when the content is removed, except where continued limited use is reasonably necessary for backups, legal compliance, dispute resolution, or content previously shared in connection with the Platform, subject to applicable law.

You represent that you have the rights and permissions necessary to post your content.

The Zamda name, logo, website design, and other materials owned by Zamda remain the property of ZAMDA LLC or their respective owners.

8. Moderation and Account Restrictions

Zamda may review, restrict, reject, remove, or disable listings and accounts when reasonably necessary to:

• Enforce these Terms or our policies.
• Address suspected fraud, illegal activity, or safety risks.
• Respond to valid legal requests.
• Protect users, third parties, or the Platform.
• Maintain the security and proper functioning of our services.

Depending on the circumstances, actions may include warnings, listing removal, temporary suspension, or account termination.

We may act without advance notice when immediate action is reasonably necessary.

Users who believe a moderation decision was made in error may contact support@zamda.net.

Zamda does not undertake to review every listing or message and cannot guarantee detection of all prohibited activity.

9. Privacy and Communications

Our collection, use, and disclosure of personal information are described in our Privacy Policy:

By creating an account, you may receive communications reasonably necessary for account administration, security, transaction-related functionality, and operation of the Platform.

Promotional communications are subject to applicable law and your available communication preferences.

Where required, we provide appropriate methods to opt out of marketing communications.

10. Third-Party Services

Zamda may display links to or integrate services provided by third parties.

Such services may be governed by their own terms and privacy policies.

Zamda is not responsible for independent third-party products, websites, or services solely because they are referenced or linked through the Platform.

Nothing in this section limits responsibilities imposed on Zamda by applicable law.

11. Availability and Disclaimer of Warranties

We work to maintain a functional and accessible Platform, but availability may occasionally be affected by maintenance, technical issues, or events beyond our reasonable control.

To the maximum extent permitted by applicable law, Zamda provides the Platform on an “as is” and “as available” basis, without warranties other than those that cannot legally be excluded.

We do not guarantee uninterrupted service, error-free operation, or successful transactions between users.

Nothing in these Terms excludes warranties or protections that cannot lawfully be waived.

12. Limitation of Liability

To the maximum extent permitted by applicable law, Zamda is not responsible for losses arising solely from independent transactions between users, including disputes concerning payment, delivery, product condition, or performance of services.

To the extent permitted by law, Zamda will not be liable for indirect, incidental, special, or consequential damages arising from use of the Platform.

These limitations do not apply where prohibited by law and do not exclude liability that cannot legally be limited, including liability arising from fraud, willful misconduct, or other conduct for which exclusion is unlawful.

13. Changes to the Platform and Terms

Zamda may update the Platform, its features, and these Terms.

When we make material changes to these Terms, we will provide notice as required by applicable law.

Updated Terms will display a revised effective date.

Changes will generally apply prospectively and will not eliminate rights that have already accrued under applicable law.

If you do not agree with updated Terms, you should discontinue use of the Platform.

14. Governing Law and Disputes

These Terms are governed by the laws of the State of California, without regard to conflict-of-law principles, except where applicable federal law or mandatory laws of another jurisdiction provide otherwise.

Before initiating formal proceedings, users are encouraged, but not required, to contact us at support@zamda.net to seek an informal resolution.

Any legal proceedings will be brought before a court of competent jurisdiction, subject to applicable jurisdictional and venue requirements.

Nothing in these Terms prevents a user from exercising rights available under applicable consumer protection laws or pursuing claims in a court or forum authorized by law.

15. General Provisions

If any provision of these Terms is found unenforceable, the remaining provisions will continue in effect to the extent permitted by law.

Failure by Zamda to enforce a particular provision does not automatically waive its right to enforce that provision later.

These Terms, together with incorporated applicable policies, govern use of the Platform. They do not replace separate agreements expressly entered into for particular paid services.

Nothing in these Terms creates an employment, partnership, joint venture, or agency relationship between Zamda and its users solely through their use of the Platform.
